Marketing Delivery Terms

These terms supplement NGM's Master Services Agreement for marketing, website, and WordPress-hosting services identified in an accepted SOW, Order Form, or checkout that presents and incorporates this version. They apply only to purchased services. They do not add marketing fulfillment, integrations, configuration or other implementation work to a SaaS subscription. NGM remains Client's service provider when its fulfillment team performs the work.

These terms take effect for Client through the applicable order's acceptance process and do not authorize retroactive charges or change an existing order without the required agreement.

Marketing fulfillment excludes CRM implementation and platform builds. Website, landing-page, and funnel services in these terms do not include work inside the CRM platform. NGM may separately engage qualified resources to perform agreed CRM configuration, platform builds, automations or integrations. Any such work requires a separately accepted scope and fee under the MSA. A marketing campaign needing a CRM connection does not automatically include that work.

1. Ordering, onboarding, and communication

Before checkout, confirm the selected product, included deliverables, required content and assets, account access, any existing issues, and all fees. The order must identify its billing date, onboarding requirements, renewal/cancellation notice, revision allowance, support arrangements, and any applicable buyout.

Virtual onboarding is the standard process; a written questionnaire is available on request. Access setup follows completion of the questionnaire. Manual onboarding calls and enhanced ClientCare support require a separately purchased scope. The order must identify whether manual onboarding is already included in an enhanced package; the same inclusion must not be charged twice.

Client-facing fulfillment uses [email protected]. Reporting and system notifications may use the reporting link or domain identified during onboarding. The client success manager (CSM) coordinates communication, expectations, approvals, and issue escalation; the account manager and specialists perform campaign strategy and execution. A CSM is not represented as the execution specialist, technical support agent, billing contact, or salesperson. Specialist advice is relayed through the CSM; direct specialist calls and a single CSM across every account are not included. This delivery inbox does not replace a separate legal-notice or billing contact specified in the agreement.

Standard communication uses email, project-board notifications, and scheduled calls. Slack access is not included. Fulfillment support operates Monday–Friday, 8:00 a.m.–4:00 p.m. Mountain time. Confirm holiday availability and the applicable time zone with NGM for time-sensitive scheduling. This is not round-the-clock technical support.

2. Access, approvals, and scheduling

Client supplies lawful access and accurate materials, confirms rights and required outreach permissions, and identifies an authorized approver. Access should use approved delegated platform permissions. Client must not send passwords, payment-card information, identity documents, or recovery codes in ordinary project-board comments.

The production clock starts after the selected service's onboarding, access, and asset prerequisites are complete; payment/checkout alone does not start it. Delays in content, access, communication, or approval extend the affected schedule. Day references are planning targets after that start, unless the order expressly makes a date binding. Only periods expressly described as business days use business days.

For these fulfillment services, affirmative approval is required at the product's approval gates before moving forward; the MSA's five-business-day deemed-approval rule does not apply to those gates. Feedback must remain within purchased scope. Standard task boards and workflows cannot be changed unilaterally. Additional processes, combined calls involving independently supplied services, or out-of-scope work require an accepted change order.

Recurring task work is planned within the applicable 30-day service cycle. An introductory CSM email/project board is targeted 2–3 business days after onboarding and the reporting link within the first four business days for reporting-enabled services. These initial links are distinct from the monthly report; some products target the report around day 35. Task completion need not occur at a fixed weekly pace. Cancellation does not accelerate the active scope's original due date.

3. Billing, cancellation, and refunds

The accepted order controls retail prices, deposits/prepayment, billing dates, renewal, notice, and any specifically disclosed non-refundable commitment. Only the prices accepted in Client's order apply. NGM obtains approval for additional charges before authorizing the extra work or incurring a customer-funded commitment.

For supplier-backed services expressly purchased on a prepaid cycle basis, the order must disclose before purchase that an active cycle is not prorated for mid-cycle cancellation, failure to complete onboarding, or late cancellation. A service credit is different from a cash refund. NGM must still honor its own contractual obligations, refunds owed for its breach, and nonwaivable customer rights; supplier discretion does not determine those rights. Existing orders are not changed without the required agreement.

Client sends cancellation to the NGM notice contact in the order within its stated notice period. NGM manages the upstream cancellation. Stopping advertising management and stopping live ad spend are separate instructions. The cancellation request must state whether campaigns should stop or continue under another manager, with the intended date. NGM records confirmation of both actions; ending management alone does not stop platform charges.

A website cancellation or buyout charge applies only if its amount or complete calculation, trigger, and payment authorization were disclosed and accepted in the order. An unspecified buyout is not an open-ended authorization to charge a card. Any refund or credit due to Client is handled under Client's agreement with NGM.

4. Local SEO

  • Plan evaluation over 6–9 months and assess monthly trends rather than daily rankings; that planning horizon is not a minimum paid term unless stated in the order. No leads, lead growth, rankings, or revenue are promised.
  • Supply GBP/GMB, Analytics, Search Console, website/CMS access, and relevant assets. CMS administration is needed for content, schema, and implementation. Non-standard CMS compatibility must be reviewed before scope is accepted.
  • Existing profile suspensions or poor backlinks may require cleanup before roadmap work. Multiple profiles require an agreed optimization rotation or an additional profile/location scope.
  • GBP posts use existing website content; missing content requires production first. Writers are generalists and need Client's industry input and factual review.
  • The standard task list remains unchanged for the first 90 days unless a safety, compliance, correction, or mutually approved scope issue requires action. Tasks are planned within 30-day cycles.
  • If an SEO task remains unapproved for 60 days, an alternative in-scope task may replace it. Implementing the original task after that period requires a separately accepted hourly change order.
  • Developer-level speed work may cost extra; server-side updates require the hosting provider's involvement. Citation submissions, verification, and directory processing can span 1–3 months.
  • AI-search optimization supplements foundational SEO/GBP work. AI Overview presence varies by query, location, device, and model changes, may take longer to surface, and may affect clicks differently from visibility. Assess visibility/query trends; no direct attribution, placement, or permanence is promised.

5. Generative engine optimization (GEO)

Full website access is required for schema, structured data, and technical updates. Website photos/video should be ready for use. Content is produced monthly and optimized within its approval month, subject to timely prerequisites and the accepted schedule. Task cycles are 30 days. Assess monthly trends; the supplier's indicative 1–6 month visibility horizon is not a result promise. The order must state the purchased theme count; the standard referenced package covers three informational keyword themes, not unlimited topics.

6. Google Maps optimization

GBP/GMB access is required. Website access is not inherently required for a Maps-only product; any additional Analytics, Search Console, or website access must be justified by the actual scope. Posts use available website content and imagery. Suspensions and poor backlinks can require cleanup. Citation coverage and map coverage develop over months; no ranking improvement within a particular period is promised.

The standard referenced package covers two keywords per month for one location; additional scope requires an order. Planning milestones are onboarding on day 1, setup/campaign work by day 5, approximately half the monthly tasks by day 15, cycle work by day 30, and reporting/review invitation around day 35.

7. Google Ads

Provide website access, the ad account/customer ID, completed onboarding, an established ad account with an authorized ad-spend payment method, and an approved landing page or separately purchased landing-page build. A landing-page build may require 4–5 business days. Existing campaign history and negative keyword lists should be supplied.

The business owner completes Google's required advertiser verification and any Local Services Ads account setup/verification before the applicable launch. YouTube campaigns require video assets. Verification timing and required documents follow Google's account-specific process; NGM does not promise acceptance or an expedited result.

Keywords are researched and approved before ad copy; copy is approved before campaign build and launch. CPC depends on auctions within the authorized budget. Early optimization may focus on clicks/CTR; a new account may require approximately 45 days of strategy refinement. None of these observations promises conversions or leads. Provide the agreed mid-month update, complete monthly tasks around day 30, and deliver reporting/review invitation around day 35.

8. Meta/Facebook Ads

Complete onboarding and provide website and ad-account access, a landing page or separately ordered funnel, assets, a compelling offer, and authorized audience material. Without an audience list, planning may include 2–3 weeks of traffic/engagement activity before conversion-focused campaigns. This describes campaign setup, not a conversion promise. Client must have lawful rights and permissions for audience uploads.

Client must have sufficient account control to authorize the page and advertising permissions needed for the agreed work. NGM coordinates the access process. Client may supply creative; otherwise standard template-based creative is used.

Stages are onboarding; designs; copy/creative approval; creative/headline testing; approved campaign build; primary-text/audience testing; launch; lead-form campaign setup where purchased; optimization; monthly reporting/review invitation. A “lead” campaign format never promises delivery of leads.

9. Organic social posting

Requires a live website. This is a brand-awareness product for Facebook and Instagram, without community management/engagement, Reels, Stories, or performance reporting. Posts feature products/services using website or other supplied branded content. Up to two special-announcement posts and two requests for alternative content sourcing are included per month; the order specifies the total purchased posting quantity.

Standard rebranded Canva layouts apply; Client may supply imagery, but layout redesign is outside scope. Target milestones are onboarding day 1, four sample posts for approval around day 3, full calendar review around day 7, scheduling after approval, the next calendar around day 20, and next-cycle scheduling around day 30. Approval is required before scheduling.

10. Authority websites

Have content, access, and assets ready before purchase. The product is a clean, fast marketing website built with Elementor, not custom graphic design or custom-coded functionality. Included optimization covers titles, metadata, internal links, sitemap submission, and conversion-oriented design.

The standard allowance is up to three revision rounds totaling up to four hours before launch. Additional time, post-launch edits beyond a purchased hosting allowance, special plugins/features, or custom code require a separate price and approval. A supplied PSD design is separately quoted. Copywriting, when purchased, targets 7–14 days. The basic ecommerce add-on covers payment-portal setup and one product page, not an unrestricted store build.

Planning milestones are onboarding day 1, homepage around day 5, internal pages around day 10, site/revision stage around day 14, and launch up to day 45 depending on revisions and prerequisites.

For subscription builds, the accepted order must state the hosting component, buyout calculation, and cancellation terms. Hosting charges do not count toward buyout. An upfront website purchase does not itself include hosting. Cancellation before launch or before buyout completion carries a $500 fee only when disclosed and accepted in the order; the order must also disclose any non-refundable commitment and whether earlier payments count toward buyout, subject to Section 3. Moving the provider's design to another host before buyout completion triggers the separately agreed buyout, not an invented amount.

The included speed-optimization offering depends on the fulfillment team's hosting environment; continued speed work is not included after transfer to another host unless separately purchased. An accessibility plugin is included as a usability aid, not a representation of complete ADA/WCAG compliance. An accessibility audit/remediation scope is separately quoted.

11. Template websites

Client supplies an Elementor-compatible theme kit, logo, colors, fonts, copy, and imagery before work begins, or separately purchases copywriting. A free Elementor library kit or a properly licensed compatible paid theme may be used. Changes are limited to those brand/content substitutions; layout changes, theme debugging, and special functionality are hourly extras.

The standard allowance is one complimentary revision round totaling up to two hours before launch. Additional or post-launch changes require a separate order. The basic ecommerce add-on covers payment-portal setup and one product page, without special search functionality. Accessibility-plugin limits are as described in Section 10.

Stages are complete onboarding/assets, completed-site review, revisions and pre-launch QA, then launch. The estimate is approximately 10 days subject to timely prerequisites and revision pace.

12. WordPress hosting

Client-facing support uses the dedicated branded inbox. Includes 30 minutes of website edits per month, without rollover. Extra edits require a quote or approved hourly work. The order must specify its storage allowance and accepted overage rates; included transactional email is 1,000 messages per month.

The order must state the price per additional GB of storage and per additional block of 1,000 transactional emails, including billing increments and rounding, before those charges are authorized.

Monitoring and failover do not guarantee end-to-end website uptime. DNS, domain expiration, plugins, and theme conflicts can affect availability. Technical support is during business hours Monday–Friday; no 24/7 human response or 100% customer-facing uptime promise is created.

13. Data, tools, and continuing responsibilities

Access to delivery tools or service-provider accounts is not included unless expressly purchased. Customer Data may be used only for authorized service delivery, security, and legal obligations under the MSA. Use of delivery tools does not authorize independent solicitation, sale, or exploitation of Client's customers or transfer of their data to another campaign.

NGM remains responsible for appropriate confidentiality and data-use obligations for its service providers and for required provider/subprocessor disclosures. The applicable MSA controls ownership, confidentiality, and liability; the order and these terms define the selected fulfillment scope and approval gates. No change to Client's order takes effect without the notice and acceptance required by Client's agreement.
